Terms and Conditions of Membership

Version 4.0.5 – 3rd July 2018

These terms and conditions will govern your membership with Plymouth Social Enterprise Network. Please also see the Network’s Website Moderation Policy which will govern your use of the Network’s website, www.plymsocent.org.uk
In these terms and conditions the below words shall bear the following meaning:
• Network or PSEN means Plymouth Social Enterprise Network
• Member means any member of the Network or any person or persons intending to or who have applied for membership of the Network upon the terms and conditions contained herein
• Website means the Network website www.plymsocent.org.uk
• Event means an event organised by the Network. These events may also be delivered with a Network partner or preferred supplier.

1. Membership

Members of the Network will be invited to attend events organised by PSEN. Details of such events will be uploaded on the website as well as being disseminated to members by other means such as email and/or social media. All other membership benefits (such as discounts for specific services) can be found on the website.

2. Membership Details

All applications for membership of the Network are to be made via the application form on the Network’s website. By submitting the application form online, the member is deemed to have signed the application form.

On completion of an application form, each new member will receive a welcome pack (electronic) within 10 working days.

On acceptance of the membership application by the Network, members shall be bound during the continuance of membership by these terms and conditions including any amendments made in accordance with the procedure set out below.

The Network reserves the right at all times and in its absolute discretion to determine the number of members in the Network and may accept or reject applications for membership as it feels fit.
Membership fees are reviewed annually and changes will be notified to members prior to renewing of membership.

3. Your Membership Subscription Contract

By purchasing a membership subscription, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation.
Our annual membership subscriptions are available in 7 bandings depending on the social enterprise’s turnover (we ask subscribers to self-report their turnover) as follows:

• Band 1 – annual income up to £10k – current fee = £25.00
• Band 2 – annual income of £10k to 50k – current fee = £35.00
• Band 3 – annual income of £50k to £100k – current fee = £50.00
• Band 4 – annual income of £100k to £500k – current fee = £70.00
• Band 5 – annual income of £50k to £1m – current fee = £90.00
• Band 6 – annual income of £1m to £5m – current fee = £150.00
• Band 7 – annual income of £5m and above – current fee = £300.00

Unless you state otherwise while joining (or contacting us separately) your subscription will be automatically extended for each successive year – at the then-current subscription rate.
The Board of Directors of the Network will review the membership subscription rates annually and will make any changes in the rates publicly known and will in any case send them to members prior to their renewal date.

We ask members to self-report their turnover and as a result the renewal rate for each member is calculated on their most recently known turnover (i.e. it will be one of the above 7 bandings).
To cancel your subscription at any time, you must update your user account at the site or email us.

4. Billing and Payments

As a member with a subscription you agree to the following:
• You must provide us with, and keep us up to date with, accurate contact, turnover and payment information
• You are responsible for any fees or charges your issuing bank or credit card provider may charge you
• If you elect to pay by bank transfer instead of PayPal/debit/credit card we will save your payment information as part of our transaction records.

5. Renewing Membership Subscriptions

Membership is to be renewed annually. The Network will email each member once the membership is coming up to renewal. If a member HAS NOT signed up for recurring membership does not pay the annual membership fee then the membership is not continued and the member will not have the benefit of membership.

If a member HAS signed up for recurring membership and elected to pay via PayPal then collection of payment will be attempted using PayPal as the Payment Gateway.

If the Network is not able to collect payment then ultimately the membership will be deemed to have expired and the membership will be terminated.

6. Terminating Membership

The Network reserves the right to expel Members or to prevent any member from participating in any event or from renewing membership if the member puts the Network into disrepute or if the member is in material breach of these terms and conditions (including non-payment of subscription fees).

If, for whatever reason, a member wishes to terminate their membership, they must give 28 days cancellation notice of this in writing to the Network. Such members may be eligible for a prorated refund of a portion of the subscription fee paid for the then-current subscription period. We regret we are unable to offer refunds if membership is cancelled for whatever reason before the renewal date unless we receive notice of cancellation within 14 days of taking out membership.

7. Members Area

Within the members area of the website you may have access to non-publicly available information and/or confidential data. The use of such information and data for commercial purposes is not permitted unless such use is explicitly given.

The Network reserves the right to refuse access to the members area. The Network shall not be liable for any loss or damages whatsoever arising from your inability to access any pages on the website.

A member wishing to change, add or delete information held in their profile can do so by logging in and making changes. If you are unable to login and the website’s ‘forgotten password’ functionality is not helping, you can contact the website administrator at info@plymsocent.org.uk
Information held in the members area is subject to our Data Protection Policy.

Members are responsible for maintaining the confidentiality of their login credentials, and for all activities that occur under their login credentials, whether by themselves or anyone else using their login credentials. Members must ensure that they have any permissions or consents required to include material or links in the members directory.

8. Events

Members will be informed of forthcoming Members’ events by e-newsletter or on the website and, if appropriate, will be required to pay the event attendance monies prior to the event. Members can sign up to an event via the website event booking system.

Members shall not hold the Network responsible or liable in any way whatsoever for the cancellation for whatever reason of an event. If a member has signed up to attend an event but is unable to attend the event, that member must notify the Network at least 72 hours prior to the event.

If notification is received from a member at least 72 hours prior to the event, a refund of event attendance monies can be given. If notice is received after this, the member will not be entitled to a refund.
Members agree to comply with any necessary health and safety regulations applicable to any event attended.

9. Variation of Terms & Conditions

These terms and conditions may be revised from time to time. If they are revised, we will post the revised version to you or email them to you. It will be your responsibility to keep up to date with all such changes and your membership renewal and continued use of the website shall be deemed acceptance of any changes to these terms and conditions.

10. Privacy Policy

When signing up for a membership subscription the user will be presented with opportunities to enter data that will become publicly available by people viewing it in their membership profile as well as data intended for use by the Network (such as private email addresses). Such information will not be passed to third parties.

11. Data Protection and Intellectual Property

We will respect the privacy of your data which you supply to us in accordance with our Data Protection Policy and forms part of these terms and conditions, and in accordance with the Data Protection Act 1998 and any other applicable data protection legislation. You agree that it is your responsibility to keep your data accurate and up to date and to send us new or revised data where appropriate. You further agree that we may use your data as set out in our Data Protection Policy.

It is your responsibility to keep your and log-in credentials confidential. Our security measures depend on you complying with this obligation and we are not responsible for any breach of your privacy due to your failure to keep your login credentials secure.

We will use your data to administer your membership and events you attend. When you attend an event your name may be included on a delegate list. Where you obtain information about other members you must use this in accordance with the Data Protection Act 1998.

Other members may use confidential information or personal data you make available in the members area of the website. If you wish such information or personal data to be available for them to use for commercial purposes you should make this explicitly clear.

If you have a concern about how another member is using confidential information or personal data that you posted to the members area, or if you think it is being used in breach of these terms, please contact us at membership@plymsocent.org.uk

You acknowledge that the internet is not a completely secure medium, and we therefore cannot be responsible for breaches of security arising out of intentional and/or unauthorised attempts to access the website, for example, by computer hackers. In addition, we are not responsible for the use made of your confidential information or personal data by other members who access it through the website.

12. Governing Law

These terms and conditions shall be interpreted in accordance with English law and all disputes shall be subject to the exclusive jurisdiction of the English Courts.

13. Discounts on Membership Fees

Discounts and special offers on membership fees will be offered from time to time and will be published on the website and or via use of other routes such as social media. We reserve the right to offer these discounts and refuse discounts to those who do not successfully meet the criteria.

14. Special Offers to Members

Being a member of the Network entitles you to receive special offers and rates on services, publications and events. You will be able to access these offers once you are a member and will be made aware of them as described above.

In presenting member offers and affiliations, the Network is not vouching for their quality or cost-effectiveness. Please note that through our website you are able to link to other websites which are not under the control of the Network. We are not responsible for the nature, content and availability of those websites.
